MEMORANDUM
  1. Name :

The Alumni Association of Government Medical College,Nagpur, shall be called The GMCAAN

  1. REGISTERED HEAD OFFICE :

The Head Office of the Association will be located in the premises of the Government Medical College, Nagpur.

  1. AREA OF OPERATION :

The area of operation of The GMCAAN will be global.

  1. AIMS AND OBJECTIVES :
  1. To promote interaction amongst members and to serve as a link between the members of The GMCAAN and their Alma Mater i.e., GMC, Nagpur.
  2. To provide help / assistance to the member of the GMCAAN.
  3. TO organise Welfare Services for its members, GMC students and humanity at large.
  4. To conduct academic activities and to award prizes for excellent work done in the medical field and/or social sphere.
  5. To publish or assist in the publication of The GMCAAN newsletter, books and /or journals by members of GMCAAN
  6. To work towards improvement of medical education and health care services.
  7. The Association will, from time to time, organize medical camps in different parts ofthe country to provide free counseling and aid to the suffering poor and the down trodden without distinction of caste, creed and religion.
  8. To mobilize and generate resources and funds to carry out the objectives of the Association, accept donations and gifts of both movable and immovable assets.
  9. To encourage formation of Chapters of The GMCAAN in cities/ states of India and in other countries.
  10. Any other objectives that the Executive Committee and General Body may deem fit in the interest of The GMCAAN.
  11. All the income, earnings, movable or immovable properties of the Association shall be solely utilized and applied towards the promotion of its aims and objects only as set forth in the Memorandum of the Association and no profit thereof shall be applied in any manner whatsoever for the personal benefit of the present or past members ofthe Association or to any person claiming through any one or more of the present or the past members. No members of the Association shall have any personal claims on any movable or immovable properties of the society or make any profits, whatsoever.
  12. There will be no interference in administrative decisions of GMCH & SSH where Dean will be the only authority by virtue of this membership.

BYE LAWS OF THE ASSOCIATION
The Association shall be called the GMCAAN

OPERATION OF the GMCAAN
The operations of the associations will be through out the world.

PATRON OF THE ASSOCATION:
The serving Dean of GMC, Nagpur will be the Chief Patron of The GMCAAN

MEMBERSHIP of the GMCAAN:
Membership will be enrolled only as life members. Members enrolled at the Head Office of GMCAAN shall be known as primary members. Type of Life Membership will be as below:

4.1 FULL MEMBERSHIP: The following are eligible for Full membership. On becoming full members, they are entitled to call themselves GMCAAN

    • Group A: shall comprise medical graduates (MBBS of GMC. Nagpur):
    • Group B shall comprise:
    1.   a. Those who have completed any postgraduate medical/paramedical course from GMC.Nagpur (MD, MS, Ph.D.. DM. MCh, etc.)
    1.   b. Faculty of GMC,Nagpur (past or present)
    1.   c. All those who have completed a medical/ paramedical degree/diploma course at GMCNagpur (e.g. B.Sc.Nursing.O.T.P.T. etc.)
    1.   d. Any one who has worked for at least 3 years in an academic medical job at GMC, Nagpur

4.2 GUEST MEMBERSHIP:
Open to any one (including Indian Foreign visitors) who has worked/participated in any academic activity at GMC,Nagpur for a continuous period of at least six months but is not eligible for full membership. Such members will be called the “Guest GMCAAN “.

4.3 MEMBERSHIP FEES : (Revisable)
Currently:
Indian Rs. 1000/- for Indian
Residents
U.S. Dollars 100/- for all others

4.4 DISSOLUTION OF MEMBERSHIP:
I. By resignation of a member
II. On the death of a member
III. By the General Body on the recommendations of the Executive Committee on the grounds of bringing disrepute to the Association by a member in any way.

  1. GENERAL BODY OF THE ASSOCIATION :
      5.1 Composition All members (Full/Guest) of The GMCAAN whose names are on”register of Membership” of the GMCAAN shall be members of the General Body of the GMCAAN

The register of membership will be maintained and kept in the head office of theAssociation.

5.2 Voting right and other privileges of members of the General Body
All full members and Guest members of the Association are entitled to the same kind of privileges except the voting rights which differ from various Groups as under

All full members of groupsB1, B2, B3, B4 (as in 4.I b above) have voting right onlyto elect representatives of their respective groups to the Executive Committee of theAssociation

All Full members of Group A (as in 4. 1a above) have voting rights on all the issues ofAssociation (e.g. election of the office bearers of the Association as well as nominees,

Guest GMCAAN HAVE NO voting rights in the General Body though they are welcome to attend and contribute to the proceedings of the General Body.

a) DUTIES OF THE GENERAL BODY :
i. To elect the Executive Committee as per details in clause 6
ii. Toguide and examine the work of the Executive Committee and decide the future line of action
iii. To draw rules and byelaws for the smooth functioning of the Association.
iv. To examine and approve the yearly income and expenditure drawn by the
v. To assist in raising funds for the Association
vi. The General Body has the power to sanction extraordinary expenses of theAssociation as and when deemed necessary.

  1. CHAPTERS OF THE ASSOCIATION :
      1. Chapters in cities and states of India and in other countries can be formed by the primary members of the GMCAAN. The chapters should contribute to the parent body as decided by the executive committee from time to time.

    6.1 MEMBERSHIP OF THE ASSOCIATION
    Primary membership of the Association is mandatory for all members of various chapters of The Association anywhere in India or abroad by paying the required.

    Thus, these chapters will consist of only those members who are enrolled as primary members at the Head Office of the Association located at AlIMS. However, at their own level, these chapters can ask for the payment of anadditional fee or subscription to meet the expenses incurred for their localactivities undertaken within the framework of the objectives of the association.

    6.2 FUNCTIONING OF THE CHAPTERS:
    For their functioning, the chapter will be required to generate their own funds. The GMCAAN will not be responsible for any liabilities incurred by such Chapters.

  1. EXECUTIVE COMMITTEE :
      1. 7.1 COMPOSITION :
      It shall consists of 7 office bearers (I President / 2 vice Presidents. / 1 Secretary / 1Treasurer / 2 Joint Secretaries ) and 11 Executive Committee Members (7 elected fromGroup A as in clause 4.1a…e. medical graduates [ MBBS] from GMC.Nagpur and one each elected / co-opted from amongst Group B as in clause 4. 1b.. i.e. Group BI. B2, B3,Only group A members (as in clause 4. la) can hold the posts of office bearers of the Executive Committee.

7.2 DUTIES AND POWERS OF THE EXECUIIVE COMMITTEE :
7.2.a. To conduct and supervise the working of the Association.
7.2.b. To co-ordinate activities among its chapters.
7.2.c To work towards the fulfillment of the aims and objectives of the Association.
7.2.d. The Executive Committee will have power to create sub-committees and nominate full members of the Association on these Sub- Committees.

The Executive Committee can also co-opt Guest Members on various committees and sub committees of the Association.

The co-opted members of the various Chapters of the Association and Sub-Committees will have no voting rights in the Executive Committee of the Association.

7.3.e. The Executive Committee has the power to sanction the expenses as may berequired for functioning of the Association.

7.3.f. The term of the Executive Committee will be 2 years from the date of declarationof the result of the election except the Executive Committee getting elected after adoptionof the constitution, which will have a term lasting till 31st March and a period of three years Subsequently, the new Executive Committee will take over from the 01st Aprilafter every two years.

  1. ELIGIBILITY FOR VARIOUS POSTS OF THE OFFICE BEARERS OF THE ASSOCIATION :
      1. 8.1. PRESIDENT: ONE POST
      1. Any full member in good standing can be elected as the President of the Association provided the candidate has completed 20 years after graduation (MBBS) fromGMC.Nagpur and has been a full member of the association for at least 5 years.(Notapplicable for first 5 years)

    8.2. VICE PRESIDENT: TWO POSTS (One elected and one nominated)

    8.2.1. Elected Vice President: One

    Any full member, in good standing, can be elected as the Vice-President of the Association provided the candidate has completed 10 year after graduation (MBBS) and has been a full member for at least 5 years (Not applicable for first 5 years)

    8.2.2. Nominated Vice President: One

    One Vice President will be co-opted / nominated by the Executive Committee from the foreign chapters of the GMCAAN.

    8.3. SECRETARY AND TREASURER: ONE POST

    Any full member, in good standing, can be elected as the Secretary and the Treasurer of the Association provided the candidate has completed 10 years aftergraduation (MBBS) from GMCNagpur and has been a full member for at least 5 years.

    8.4. JOINT SECRETARIES: TWO POSTS

    Any full member in good standing can be elected as the Joint Secretary of theAssociation provided the candidate has completed 07 years after graduation (MBBS) from GMC Nagpur and has been a full member for at least 5 years.

    8.5. EXECUIIVE COMMITTEE MEMBERS: ELEVEN POSTS
    Any full member in good standingcan be elected as an Executive Committee member provided he/she has been a full member for at least one year.

  1. POWERS AND DUTIES OF THE OFFICE BEARERS :
    9.1. President :
    1.   1. The President will preside over all the meetings of the General Body andExecutive Committee.
    1.   2. The President will have the deciding vote in case of a tie.
    1.   3. The President will be responsible for all the work done by the Generalbody and Executive Committee.
    1.   4. He along with Secretarywill represent the Association in the media, national and international fora.
    9.2. Vice President:

Vice President will assist the President in discharging his duties. The VicePresident shall have all the powers and duties of the President in his absence.

    9.3. Secretary
    1.   1. To look after the day-to-day working of the Association.
    1.   2. He/she shall maintain records of all proceedings of the ExecutiveCommittee and the General Body.
    1.   3. To call a meeting of the General Body and Executive Committee.
    1.   4. The Secretary along with President of the Association will represent the Association in the media, national and international fora.
    9.4 Treasurer
    1.   1. To make payments from approved funds as decided by the ExecutiveCommittee.
    1.   2. The Treasurer will keep the accounts of the Association and get them audited annually.
    1.   3. The Treasurer will operate the accounts of the Association Jointly with the president.
    1.   4. The Treasurer will Present to the President a statement of accounts of the Association every 3 months and to the Executive Committee every 6 months.
    9.5. Joint Secretaries

There shall be two Joint Secretaries who will assist the Secretary in discharging is duties as per instructions of the Secretary and President of the Association. In the absence of the Secretary they will discharge his duties as directed by the President.

  1. MEETING :
      There will be minimum one General Body Meeting and three Executive Committee meetings in a year. Absence from three consecutive Executive Committee meetings without prior intimation may lead to dropping of themember from the Executive Committee. Co-opting a member from the General Body will fill in the vacancy thus created.
  1. PROCEDURE FOR CALLING OF MEETINGS :

The Secretary will call the meetings of the General Body. The place and time of which will be fixed in consultation with the President. Agenda for the meeting will be approved by the President and will accompany the notice.

Extraordinary General Body Meeting can be convened by the ExecutiveCommittee and by a requisition from at least 100 Group ‘A. members.

  1. QUORUM :

The Association will consider presence of one third of total members as properquorum in all meetings of the Executive Committee and one fifth of all members. in case of the General Body Meeting.

In case the quorum is inadequate, the meeting will be adjourned and re-convened after 15 minutes. The memberspresent in the re-convened meeting will constitute the quorum for that meeting.

The majority of Group A members as in clause 4.l.a will pass all resolutions.

  1. AMENDMENTS OF THE CONSTITUTION :

Any member of The GMCAAN may submit proposals for amendments to theconstitution to the Executive Committee. Such proposals will be discussed by theExecutive Committee and presented in a General Body Meeting for which priorinformation will be provided at least six weeks before the meeting.

Amendments to the Constitution will be adopted by two third majority of theGroup “A” members (in clause 4.1.a) present and voting.

  1. FINANCIAL YEAR :

The financial year of the “The GMCAAN “will be from 1st April to 31st Marchevery year.

  1. BANK OPERATION :

The authorized signatories to operate the bank accounts will be any two of thethree office bearers i.e., the President, Secretary and Treasurer, The accounts shallbe maintained in any of the Nationalized Bank in Nagpur. The signature of the treasurer is obligatory

  1. AUDITOR :

The Executive Body will appoint an Auditor (Chartered Accountant) who willsubmit his report to the Secretary and the treasurer for presentation to the General Body.

  1. DONATION :

The Association may accept donation of any amount in cash and / or kind.

  1. ELECTION PROCEDURE:
    1.   18.1. Entire Proceedings of the election to the Executive Committee will beconducted by an Election Committee of 3 persons nominated by the Executive Committee. Out of these, One shall be the President of Election Committee and two others, e members.
    1.   18.2. Election date will be determined by the Executive Committee along with themembers of Election Committee.
    1.   18.3. Election will be held in a General Body meeting convened for this purpose by the members present. President of the Election Committee will notify elections to various posts by giving at least 3 weeks prior notice. Election Committee will receive the names of the desirous candidates from amongst the full members of the General Body of the appropriate Groups. Date for receiving and withdrawal of the nominations will be announced in the initial notice.Nominations thus received will be scrutinized by the Election Committee. If there are more than one candidate for a particular post, election will take place by a secret ballot in the General Body Meetingcalled for this purpose. After counting of the votes, the result will be declared inthe same meeting.
  1. All the provisions under all the sections of the Societies Registration Act 1860 shall apply to this society.
  1. Once in every year, a list of the office bearers and Executive Committee membersshall be submitted to the Registration of Societies. Nagpur, as required under Section 4 of the Societies Registration Act. 1860.
  1. The society can be dissolved as per provisions laid down under sections 13 & 14 ofthe societies Registration Act. 1 860 as applicable to the state of Maharashtra In case of liquidation, the property of the Association will be handed over to the library of GMC.Nagpur.
  1. In case of legal disputes, it will be under jurisdiction of Nagpur courts.
